THIS NOTICE IS IMPORTANT AND REQUIRES YOUR IMMEDIATE ATTENTION

ANNOUNCEMENT OF RESULTS OF

WRITTEN RESOLUTION OF NOTEHOLDERS

The Arab Republic of Egypt (the "Issuer")

U.S.$1,360,000,000 4.622 per cent. "Series A" Notes due 2017 (the "Notes")

1 On 2 November 2017, the Issuer announced an invitation to holders of the outstanding Notes to consent to:

a. making certain modifications to the Fiscal Agency Agreement and the terms and conditions of the Notes (the "Conditions") to provide for:

i. an extension to the maturity date of the Notes such that, unless previously purchased and cancelled, the Notes will be redeemed at their principal amount on 10 December 2018, and Condition 6(a) (Final Redemption) of the Notes and the Global Notes will be deemed to be amended accordingly; and

ii. a consequential modification to the interest payment provisions of the Notes, such that the first sentence of Condition 5 (Interest) will be amended to read:

"The Notes bear interest on their outstanding principal amount from and including 10 November 2016 at the rate of 4.622% per annum, payable semi-annually in arrear in equal instalments of U.S.$23.11 per Calculation Amount (as defined below) on 10 May and 10 November in each year (each an "Interest Payment Date"), except that the final payment of interest will be in respect of the period from, and including, 10 November 2018 to, but excluding, 10 December 2018 and will amount to U.S.$3.85 per Calculation Amount."

and, accordingly, and for the avoidance of doubt, no interest is scheduled to be paid on 10 December 2017;

all as more fully described in the form of First Supplemental Fiscal Agency Agreement which was scheduled to the form of Written Resolution, which was, in turn, annexed to the notice delivered to Noteholders and published on 2 November 2017 (the "Notice"); and

b. a waiver in respect of any information that may be required to be published or provided to the Fiscal Agent pursuant to Condition 12(f) (Information).

Noteholders should have regard to the Conditions, the full terms of the Notice and the form of Written Resolution.

2 We refer to the Notes and to the fiscal agency agreement dated 10 November 2016 (the "Fiscal Agency Agreement") among the Issuer, Citibank N.A., London Branch as fiscal agent, paying agent and transfer agent, and Citigroup Global Markets Deutschland AG, as registrar.

3 Unless otherwise defined in this Announcement, words and expressions defined in the Fiscal Agency Agreement have the same meaning when used in this Announcement.

4 The Notice explained that, pursuant to the Fiscal Agency Agreement and Condition 12(b)(iii)(A), a resolution in writing signed or confirmed in writing by or on behalf of the holders of at least 75 per cent. in aggregate principal amount of the Notes for the time being outstanding shall take effect as an Extraordinary Resolution. The Written Resolution was proposed to be authorised by way of Single Series Written Resolution pursuant to Condition 12(b)(iii)(A).

   5        Results 

Notice is hereby given that consents by or on behalf of Noteholders holding in excess of 75 per cent. in aggregate principal amount of the Notes for the time being outstanding have been received and the Written Resolution has been duly passed.

   6        Implementation 

The Issuer and Agents executed the First Supplemental Fiscal Agency Agreement on 8 November 2017 and the modifications and waivers described in Paragraph 1 above took immediate effect with respect to the Notes and the Fiscal Agency Agreement.
