Details of Amended and Restated Final Terms by Westpac Securities NZ Limited

On 20 July 2017 the following Final Terms were made available for viewing:

Final Terms dated 19 December 2016 as amended and restated on 20 July 2017 relating to Series 034 USD800,000,000 Floating Rate Instruments due August 2020 issued by Westpac Securities NZ Limited under its Programme for the Issuance of Debt Instruments unconditionally and irrevocably guaranteed as to payments by Westpac New Zealand Limited.

Further to the announcement of 20 July 2017, we confirm that the Final Terms were amended to:

   (i)   extend the Maturity Date of the Notes from 22 December 2018 to 22 August 2020; 

(ii) amend the Interest payable for the final Interest Period (being the period commencing after the Interest Payment Date falling in June 2020), from 3 month USD LIBOR plus the Margin to 2 month USD LIBOR plus the Margin;

(iii) amend the Designated Maturity of the Notes for the final Interest Period from 3 months to 2 months;

(iv) amend the applicable Margin for Interest Periods after the Interest Payment Date falling in September 2017, from 0.65 per cent. per annum to 0.70 per cent. per annum; and

   (v)   update the Moody's Investors Service Pty Limited rating of the Instruments, from Aa3 to A1.
