OFFER TO PURCHASE ALL SHARES IN FOKUS BANK ASA
- REVIEW OF THE DEGREE OF ACCEPTANCE
- DEN DANSKE BANK APPLIES FOR PERMISSION
- ACCEPTANCES ARE STILL RECEIVED

Den Danske Bank's offer to purchase all shares in Fokus Bank is effective until
4.00pm on 10 December, 1998.

On 9 December, 1998, Den Danske Bank had received acceptances registered at the
Norwegian securities centre for 83.4% of the entire share capital, so that Den
Danske Bank now has 93.4% of the entire share capital at its disposal.  To this
should be added acceptances received today.  Den Danske Bank is very pleased
that so many shareholders, including the major Norwegian and foreign investors,
have chosen to accept the Bank's offer.

Den Danske Bank's condition regarding receipt of valid acceptances, so that Den
Danske Bank has more than 90% of the shares and voting rights at its disposal,
has thus been fulfilled.

Den Danske Bank will transfer its rights and obligations under the offer to a
wholly-owned Norwegian subsidiary DDB Fokus Invest AS.  Den Danske Bank
guarantees that this company's obligations to pay the purchase sum and interest
in accordance with the offer will be met.

DDB Fokus Invest AS will file an application with the Norwegian finance ministry
for permission to take over the shares in Fokus Bank within a period of fourteen
days.

Although the acceptance period expires at 4.00pm on 10 December, 1998, and Den
Danske Bank's condition regarding the degree of acceptance has been fulfilled,
the Bank has decided - out of consideration for those shareholders in Fokus Bank
who have not yet had the opportunity to accept the offer - to continue receiving
acceptances on unchanged conditions.
