                   ANNOUNCEMENT TO THE LONDON STOCK EXCHANGE

                  Arko Holdings plc ("the Company" or "Arko")

           Dealings by Directors in the share capital of the Company

             Clarification of Announcement made on 14 October 2003

The Directors of the Company wish to clarify certain aspects of the information
contained in the announcement made on 14 October 2003 relating to dealings by
Directors in the share capital of the Company ("the 14 October Announcement").

Keen Lloyd Holdings Limited, which owns 1,697,697,214 ordinary shares,
representing a 95.05% interest in the share capital of the Company, is wholly
owned by The Chin Dynasty Fund.  The Chin Dynasty Fund is a discretionary trust
where Mr Qin Shun Chao is the settlor.  The members of the family of Mr. Qin are
the potential beneficiaries of the trust and Mr. Qin is the father of Mr Chin
Kam Chiu, Chairman of the Company.

Therefore, following the transfers described in the 14 October Announcement, the
interests of the Directors disclosed therein include their beneficial interests,
interests under discretionary or other trusts and family holdings in the share
capital of the Company.

In addition, the interest of Ms Angela Leung Suk Ching, a Director of the
Company, was disclosed in the 14 October Announcement and on p.13 of the audited
financial statements of the Company for the nine months ended 31 December 2002
("the 2002 Accounts") as 650,000 ordinary shares, representing an 0.036%
interest in the share capital of the Company. On 31 December 2002 an acquisition
by Ms Leung of 220,000 ordinary shares, increasing her holding to 870,000
ordinary shares, representing an 0.049% interest in the share capital of the
Company, was announced.

Accordingly, the information given in the 2002 Accounts and the 14 October
Announcement in respect of Ms Leung's holding as at 31 December 2002 and 14
October 2003 respectively should have been 870,000 ordinary shares, representing
an 0.049% interest in the share capital of the Company.
