PROPOSED DEMERGER OF TOLENT CONSTRUCTION ACTIVITIES

Amco Corporation Plc announces that the Board has been considering various
ways to enhance shareholder value and the Board believes that a demerger of
the Tolent construction  activities should be one of the ways to achieve this.

The Tolent sub-group was acquired in September 1995 for a nominal
consideration, #2 million has subsequently been invested in the Tolent
businesses and substantial restructuring  has taken place, including the sale
of the Wares businesses.  These measures have resulted in substantially
improved levels of turnover and profits.

The Board is currently being advised on the procedures for demerging Tolent
and will make a further announcement as soon as possible.
