ANTONOV plc (the "Company" or "Antonov"),

Announces Board Changes

The Board of Antonov plc is pleased to announce that due to significant
technological and commercial advances made by the Company recently, Roumen
Antonov will in addition to his chairman's duties take responsibility for the
Company's strategically important R&D function. At the same time Karl Ludvigsen
has indicated that he wishes to retire as a Non-Executive Director of the
Company for personal reasons.


R&D function strengthened as Company moves towards commercialisation

In the last six months it has become clear that customer demands and new
development projects, especially those aimed at higher torque transmission
applications will require additional attention. In order to exploit these
opportunities as rapidly as possible, the Board has agreed that Roumen will in
addition to his chairman's role (in a non-executive capacity since June 2003)
also take responsibility for the Technical Director's function, concentrating
his efforts on R&D as the Company's technology moves towards commercialisation.


Karl Ludvigsen to retire as a Non-Executive Director

Karl Ludvigsen, who has been a Non-Executive Director of Antonov since 1997, has
indicated that he wishes for personal reasons to retire as a director of the
Company. As a result of Karl's retirement Antonov will appoint a new
Non-Executive Director in due course.


Roumen Antonov said:

"Following the recent successful introduction of our fifth generation six-speed
automatic transmission and other follow-on developments that are currently being
planned, it has become apparent that I will need to concentrate all my
endeavours on new product development issues in 2004. We are currently expanding
the Company's R&D capacity and expect to announce a number of new product
initiatives in the near future.

I would like to wish Karl the very best in his retirement and thank him for his
invaluable loyalty and support during the Company's formative years."
