  Proposed acquisition of Theratase plc ("the Company" or "Theratase") by BBI
                              Holdings plc ("BBI")
              (to be effected by means of a Scheme of Arrangement)

 Result of the Theratase Court Meeting and the Theratase Extraordinary General
                                    Meeting


On 27 March 2007, the Company announced a recommended proposal by BBI to acquire
the entire issued and to be issued share capital of Theratase to be implemented
by way of a Court approved Scheme of Arrangement. The Scheme Document,
containing the terms and conditions of the Proposal and further information on
the Proposal, was posted to qualifying holders of Theratase Shares (and to
Theratase Optionholders, who received separate offers from BBI in respect of
their Theratase Options, for information only) on 2 April 2007. Terms defined in
this announcement have the same meanings as in the Scheme Document unless the
context requires otherwise.


The Company is pleased to announce that at the Theratase Court Meeting held
earlier today, a resolution by holders of Theratase Shares to approve the Scheme
was passed by a majority of those holders of Theratase Shares present in person
or by proxy at the Theratase Court Meeting representing not less than 75 per
cent. in value of the Theratase Shares held by such shareholders.


The votes cast, either in person or by proxy, at the Theratase Court Meeting
were as follows:

For  11,803,606   Against  46,367   Result   99.61 per cent. of holders of
                                             Theratase Shares in favour


The total number of holders of Theratase Shares voting in person or by proxy was
11,849,973. Of these, 11,803,606 voted for the Scheme representing approximately
99.61 per cent. of the total number of Theratase Shares represented at the
Theratase Court Meeting and 46,367 voted against the Scheme representing
approximately 0.39 per cent. of the total number of Theratase Shares represented
at the Theratase Court Meeting.


Following the Theratase Court Meeting, the Theratase Extraordinary General
Meeting was held to consider a special resolution to approve the Scheme and
certain other related matters. The Company is pleased to announce that the
special resolution was passed at the Theratase Extraordinary General Meeting by
the requisite majority.


Completion of the Proposal remains subject to the satisfaction or, if permitted,
waiver of the conditions to the Scheme as set out in the Scheme Document. It is
expected that the Scheme will become effective on 15 May 2007.
