The Retail Corporation plc ("Retail Corp") has applied to the UK Listing
Authority for the cancellation of the listing of the following classes of its
preference shares:

    (a)    6.5% Cumulative Preference Shares;

    (b)    5.75% Cumulative Second Preference Shares;

    (c)    6.5% Cumulative Third Preference Shares (together the
           "Preference Shares").

The proposed cancellation of the three listings follows the announcement to
Retail Corp's Preference Shareholders by its parent, Sears Limited ("Sears"),
that Sears has declared each of its three offers for each class of
Preference Shares unconditional in all respects.  Sears intends to apply the
provisions of section 428 to 430 (F) inclusive of the Companies Act 1985
to acquire the remaining Preference Shares held by non-assenting
shareholders.
