                            Directors' Shareholdings



Celsis International plc ("the Company") was notified on 30 August 2004 that on
    27 August 2004 Jay LeCoque, Chief Executive Officer and Christian Madrolle,
Finance Director, have each re-invested dividends they received from the Company
in Celsis International plc shares.



Mr LeCoque has acquired 8,000 Celsis ordinary 1p shares, at 31p, making his
total holding 558,000 shares representing 0.5% of the issued share capital.  Mr
Madrolle has purchased 6,000 Celsis ordinary 1p shares, also at 31p, with his
holding totalling 406,000 shares representing 0.36% of the issued share capital.
