                Directors Dealings and Major Interest in Shares


Following the announcement on 15 October 2007, the Company has clarified the
following dealings in the interests in the Company's shares held by Arron Banks
(a Director of Conister). For completeness, details of the dealings announced on

Notes:


1 Mr Banks has a beneficial interest in 51% of the issued shares in Rock
Holdings Limited.

2 STM Fidecs Nominees Limited is the registered holder of both 6,508,645
ordinary shares, or 12.91% of the Company's issue share capital, (which it holds
as nominee for Rock Holdings Limited), and 396,000 ordinary shares, or 0.79% of
the Company's issued share capita (which it holds as nominee for Southern Rock
Insurance Company Limited).

3 Southern Rock Insurance Company Limited ("SRICL") is an insurance company,
incorporated in Gibraltar, whose address is Suite 2B, Eurolife Building, 1
Corral Road, Gibraltar. Mr Banks is effectively interested in 35.7% of the
shares of SRICL and thus in the Ordinary Shares that it holds. SRICL is now
interested in 611,000 ordinary shares, or 1.21% of the Company, 396,000 of which
are registered in the name of STM Fidecs Nominees Limited and 215,000 of which
are registered in SRICL's own name. Whilst Arron Banks is technically interested
in the ordinary shares owned by SRICL, it should be noted that the ordinary
shares it holds are part of its policyholders funds and any profit made on the
transactions related to such fund and are not available for distribution to the
shareholders of SRICL.

4 The percentage holdings in this announcement are based on a total number of
ordinary shares in issue of 50,409,000, following the allotment and issue of new
ordinary shares announced on 7 November 2007. An announcement made confirming
the total voting rights of 50,409,000 will be made on 30 November 2007.



Accordingly Mr Banks has a beneficial interest in a total of 7,119,645 Ordinary
Shares, representing 14.12% of the issued share capital of the Company.
