Goldshield Group PLC ("Goldshield" or the "Company")

Notification of Interest of Directors and Connected Persons

On 14 January the Company was notified that 1,000,000 ordinary shares in the
Company, representing 2.71% of the Company's issued ordinary share capital, in
respect of which Ajit Patel, Chairman and Chief Executive of Goldshield, had a
beneficial interest, were transferred on 10 January 2003 as part of his recent
divorce settlement. As a result Mr Patel's beneficial holding has decreased to
3,183,752 shares representing 8.63 % of the Company's issued ordinary share
capital.
