The Board of the Company notes the rules of the UK Financial Conduct Authority ("FCA") on the promotion of non-mainstream pooled investments, effective from 1 January 2014.

The Board confirms that it conducts the Company's affairs, and intends to continue to conduct its affairs, so that the Company's shares will fall outside the scope of the FCA's restrictions. The Board does not consider that the definition applies, in particular because its shares are "excluded securities" under the FCA's new rules. Therefore, the Company's understanding is that its shares will not amount to "non-mainstream pooled investments". On that basis, the promotion of the Company's shares will not be subject to the FCA's restriction on promotion of non-mainstream pooled investments.
