Heywood Williams Group PLC ("the Company") advises that on 24 October 2002 and
pursuant to the terms of the remuneration agreement agreed between the Company
and Hamish Bryce, the Company's Non-Executive Chairman, Mr Bryce acquired 1,731
ordinary shares in the Company at a price of 162p per share. Following this
purchase Mr Bryce is interested in a total of 120,498 ordinary shares.
