INVESCO TOKYO TRUST PLC (THE "COMPANY")

RECONSTRUCTION OF THE COMPANY - ANNOUNCEMENT OF ELECTIONS


The Company announced on 15 August 2002 proposals for the reconstruction of the
Company (the "Proposals").

Under the Proposals, the Company will be placed in members' voluntary
liquidation and shareholders were given the opportunity to elect for new
ordinary shares in Perpetual Japanese Investment Trust plc ("PJIT") and/or cash.
Eligible Shareholders were also given the opportunity to reinvest cash into the
INVESCO Japan Alpha Fund (the "Japan Alpha Fund").

The latest time for receipt of elections was 11.00 p.m. on 1 October 2002. As at
that time elections, and deemed elections, had been received in respect of the
following:

The Proposals remain conditional on, inter alia, a special resolution to place
the Company in members' voluntary liquidation being passed at a further
Extraordinary General Meeting convened for 15 October 2002.
