The Board of Marshalls Plc has today decided to seek general
authority from shareholders at its forthcoming Annual
General Meeting on 30 July 1997 to make market purchases of
its ordinary and convertible preference shares.

Details will be set out in a circular to shareholders to be
dispatched at the same time as the report and accounts are
sent out on 4 July 1997.

The Board has no current intention of exercising this
authority.
