Total Voting Rights

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rule 5.6.1, World Careers Network plc notifies the market that as at 28 February 2016 its issued share capital consists of 7,573,938 ordinary shares with voting rights. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The Company does not hold any shares in Treasury.

The above figure of 7,573,938 ordinary shares incorporates the issue of 26,600 of the 100,000 ordinary shares blocklisted in relation to the exercise of options by staff members under the terms and conditions of the WCN EMI Share Option Scheme pursuant to the announcement made on 6 December 2016. There is a remaining balance of 73,400 ordinary shares still capable of being issued under the blocklisting facility.
