Reconstruction Capital II Limited (the "Company")

Fundraising

The Company announces its intention to commence a fundraising by way of a
placing to raise up to Euro35 million net of expenses (or such larger amount as
the Directors may determine) by way of the issue of up to 35,353,535 new
Ordinary Shares (or such larger amount as the Directors may determine) at a
price of Euro0.99 per share. The anticipated closing date of the placing will be
24 May 2006 and application will be made for the new Ordinary Shares to be
traded on AIM. A further announcement will be made on completion of the placing.

The funds raised will be used to continue to invest in Romania and Bulgaria.
Priority sectors include, amongst others, branded food products, infrastructure,
specialized retail and distribution, financial services, medical services and
real estate development.
