Special Shareholder Meeting approves increase in Share Capital

The directors of the Company announce that at the Special Shareholder Meeting
held at 8am today (Nashville time) shareholders approved the increase in the
Company's authorised share capital.  

This increase in the authorised capital was required in order to complete the
Company's refinancing, including the placing of 21,300,000 shares of common
stock, announced on 26 October 1998.  Dealings are expected to commence in the
shares issued pursuant to the refinancing and the placing on 9 November 1998.
