VOCALIS GROUP PLC

At a Board meeting of the Company held on 17 June 1998 it was resolved to apply
to the London Stock Exchange for the block listing of 500,000 Ordinary shares of
5p each under the Vocalis Group plc 1996 (No.1) Share Option Scheme and the
Vocalis Group plc 1996 (No.2) Share Option Scheme.

Upon allotment, these shares will rank pari passu in all respects with the
existing issued Ordinary shares.

Application for listing of these shares has been made to the London Stock
Exchange.
