    Court Meeting and General Meeting Results

    Virotec International plc (AIM: VTI) today announces that at the meeting convened by direction of the High Court of England and Wales
(the "Court") and held earlier today, 6 June 2008, (the "Court Meeting") the proposed scheme of arrangement (the "Scheme") between the
Company and the holders of Scheme Shares (as defined in the circular to Virotec shareholders dated 13 May 2008 (the "Scheme Document")) to
implement the acquisition of the Company by Hydrodec Group plc (the "Acquisition") was approved by the requisite majority on a poll. At the
General Meeting of Virotec shareholders, held subsequent to the Court Meeting, the special resolution for the purpose of giving effect to
the Scheme, and the ordinary resolution approving the Disposal (as defined in the Scheme Document) were also approved by the requisite
majorities by a vote on a show of hands.

    Completion of the Acquisition is subject to the satisfaction or, if permitted, waiver of the remaining conditions of the Acquisition and
the sanction of the Scheme by the Court. It is expected that the Court sanction will be received at the Court hearing listed for 23 June
2008.
