    Woolworths Group plc ("the Company"), notes the announcement from the Financial Services Authority ("FSA") that it has imposed a penalty
on the Company for contravention of disclosure rules in December 2005. 

    Woolworths accepts the judgment and has decided not to appeal the decision through the Financial Services and Markets Tribunal. This
decision was taken in view of the significant costs, both in financial terms and in management time, involved in an appeal.

    The Company is pleased to note the FSA's finding that the breach was not deliberate.

    Woolworths will take the �350,000 fine as an exceptional charge in this financial year.
