Effective August 7, 2019, the board of directors of Reed’s Inc., a Delaware corporation (“Reed’s”) expanded
the board to eight seats and appointed Louis Imbrogno, Jr. to fill the newly created vacancy. Mr. Imbrogno is expected to chair
the operations committee of the board. Mr. Imbrogno will receive annual compensation of $50,000 in cash and restricted stock awards
valued at $30,000, vesting quarterly. He will also receive a one time grant of stock options to purchase 30,000 shares
of common stock of Reed’s, vesting over three years. Equity awards will be issued subject to Reed’s shareholder approved
compensation plan.
