Compco Holdings plc ("Compco")


Compco Holdings plc announces that, following the recommended cash offer for
Compco by City & General Securities Limited ("City & General Securities") having
been declared unconditional in all respects on 7 July 2003, Kenneth Rubens,
Nigel Ross, Robert Nadler, Andrew Jaye, Brian Leaver, Lord Wolfson of
Sunningdale, Bernard Myers and Colin Lehmann, being all the existing directors
of Compco, have resigned from the board with immediate effect.

Steven Collins and Mark Steinberg, being directors of City & General Securities,
have been appointed as executive directors of Compco with immediate effect.
Terence Cole, also a director of City & General Securities, will take up his
position as an executive director of Compco within the next two months.

Steven Collins, Mark Steinberg and Terence Cole are all directors of C.G.I.S.
Group Limited, whose debenture stock is listed on the Official List and trades
on the London Stock Exchange. Save as aforesaid, there are no matters in
relation to any of the new directors which need to be disclosed pursuant to
paragraph 16.4 of the Listing Rules of the UK Listing Authority.
