AMSTERDAM--Dutch telecommunications company Royal KPN NV
(KPN.AE) said Wednesday that two executives of America Movil
SAB(AMX) will be nominated for appointment as members of its
supervisory board, as part of a deal with its largest
shareholder.
MAIN FACTS:
-KPN said that the Supervisory Board nominates Mr García Moreno
Elizondo, CFO of América Móvil ("AMX") and Mr von Hauske, COO and
board member of AMX, for appointment as members of the Supervisory
Board.
-These nominations are related to the relationship agreement
between KPN and AMX. AMX will vote in favour of KPN's capital raise
subject, among other things, to the appointment of two Supervisory
Board members designated by AMX.
-The Supervisory Board consists of eight members of which four
members, Mr Risseeuw, Ms Van Lier Lels, Mr Routs and Mr Haank, will
step down since the end of their four-year term is reached.
-Furthermore, Mr Bischoff will step down as a member of the
Supervisory Board due to other commitments. Mr Bischoff has been a
member of KPN's Supervisory Board for the last ten years.
-The Supervisory Board firmly believes that it is in the best
interest of the company to ensure continuity in the Supervisory
Board. In that respect, Ms Van Lier Lels, Mr Routs and Mr Haank
have indicated that they are available for reappointment. The
Supervisory Board nominates Ms Van Lier Lels, Mr Routs and Mr Haank
for reappointment to the Supervisory Board.
-The nominations are part of the agenda of KPN's Annual General
Meeting of Shareholders, to be held on April 10th, 2013.
