Item 8.01 – Other Events

On January 16, 2024, the Board of Directors of the Company declared a quarterly cash dividend of $0.10 per share of common stock. The dividend will be paid on or about March 1, 2024, to stockholders of record as of the close of business on March 15, 2024. A copy of the Press Release announcing the dividend is attached hereto as Exhibit 99.1.

Bank of the James Financial Group, Inc. Announces Quarterly Dividend;  Increases Quarterly Dividend by 25%



Lynchburg, VA., January 19, 2024  On January 16, 2024, the Board of Directors of Bank of the James Financial Group, Inc. (the Company) (NASDAQ:BOTJ), the parent company of Bank of the James (the “Bank”), a full-service commercial and retail bank, and Pettyjohn, Wood & White, Inc., an SEC-registered investment advisor, declared a cash dividend in the amount of $0.10 per common share.  This is an increase of $0.02 per common share, or 25%, from the dividend declared in October 2023.    The dividend is payable on March 15, 2024 to shareholders of record at the close of business on March 1, 2024.



While the Company intends to declare dividends on a quarterly basis, future declarations of dividends are subject to the approval of the Board of Directors and will depend on the Company’s results of operations, financial condition, regulatory requirements, and other factors considered relevant by the Board.

The Bank currently services customers in Virginia from offices located in Altavista, Amherst, Appomattox, Bedford, Blacksburg, Charlottesville, Forest, Harrisonburg, Lexington, Lynchburg, Madison Heights, Roanoke, Rustburg, and Wytheville.
