Explanatory Note
This Form 8-K/A is being filed as an amendment (“Amendment No. 1”) to the current report on Form 8-K filed by City Holding Company. (the “Company”) with the Securities and Exchange Commission on December 20, 2019 (the “Original Filing”). The sole purpose of this Amendment No. 1 is to amend the per share price of the common share dividend to $0.57 per common share. No other changes have been made to the Original Filing.

Item 8.01 Other Events.
On December 18, 2019, the Board of Directors of City Holding Company (“the Company”), declared a dividend of $0.57 per common share for shareholders of record as of January 15, 2020 payable on January 31, 2020.
