On June 14, 2018, CME Group Inc. (the Company) entered
into an Underwriting Agreement (the Underwriting Agreement) between the Company and J.P. Morgan Securities LLC, Barclays Capital Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the underwriters
named therein (together, the Underwriters), in connection with the issuance and sale of $500,000,000 aggregate principal amount of the Companys 3.750% Notes due 2028 and $700,000,000 aggregate principal amount of the Companys
4.150% Notes due 2048 in an underwritten public offering. The Underwriting Agreement includes customary representations, warranties and covenants by the Company. It also provides for customary indemnification by each of the Company and the
Underwriters against certain liabilities and customary contribution provisions in respect of those liabilities.
