Other Information

On August 23, 2023, Sandy Spring Bancorp, Inc. (the “Company”) completed the transfer of $33.7 million of pension obligations through a full termination of its pension plan. Based on participant elections, the pension obligations were distributed through a combination of lump sum payments to participants and the purchase by the Company of a group annuity contract with Principal Life Insurance Company (“Principal”). All benefit accruals under the pension plan were frozen as of December 31, 2007. Pension settlement expenses estimated to be $8.2 million, before tax, will be recognized in the Company’s consolidated statement of income in the quarter ending September 30, 2023, and excluded from its non-GAAP results. By transferring the future benefit obligations and annuity administration to Principal, the Company expects to fully eliminate its qualified pension plan liabilities.
