Explanation of Responses:
(1)  Includes 1,666, 4,000 and 7,000 restricted shares of Class A common stock granted pursuant to the Company's 2014 Long-Term Incentive Plan ("Restricted Stock"). These shares of Restricted Stock were granted on September 28, 2015, September 28, 2016 and September 28, 2017, respectively, and will vest and become nonforfeitable ratably over a three year period from the date of grant, subject to Mr. Strickler's continued employment. The reporting person will be entitled to dividends and voting rights with respect to all of the shares of Restricted Stock in his Restricted Stock award including shares subject to forfeiture restrictions.
