Law Offices of Howard G. Smith announces that it is
investigating potential claims against the board of directors of
First Mercury Financial Corporation (“First Mercury” or the
“Company”) (NYSE:FMR) related to the Company’s agreement to be
acquired by Fairfax Financial Holdings Limited (“Fairfax”). The
proposed cash transaction is valued at approximately $294
million.
Under the terms of the merger agreement entered into by the
parties, Fairfax will acquire all of the outstanding shares of
First Mercury common stock for $16.50 per share in cash. Certain
directors, including the founder of First Mercury, who together
beneficially own approximately 17% of the outstanding shares of the
Company’s common stock, have agreed to vote their shares in favor
of the merger. The transaction is expected to close in the first
quarter of 2011. The investigation concerns possible breaches of
fiduciary duty and other violations of law related to approval of
the proposed transaction by First Mercury’s board of directors.
