Director Shareholding

Interserve Plc (the `Company') announces that Mr S B Hagerty, Director,
notified the Company on the 4 April 2003, that he had purchased 9,980 ordinary
shares of 10p each (the `shares') at a price of 178p per share on 1 April 2003.
The shares were purchased pursuant to the Interserve Plc 2002 Share Matching
Plan and are held in the name of Mourant & Co. Capital Trustees Ltd.

As a result of the above transaction Mr S B Hagertys beneficial shareholding in
the Company has increased to 62,980.
