"QUEST" NOTIFICATION

Interserve Plc (the "Company") announces that the following directors - Messrs
M C Bottjer, C J Groom, S B Hagerty, A R Hannah, M S Lee, A M Ringrose and J H
Vyse - were deemed to be interested in 139,117 ordinary shares of 10p each (the
"shares") when the Interserve Plc Qualifying Employee Share Trust (the "QUEST")
acquired the shares on 25 June 2003. The directors subsequently ceased to be
interested in the shares when they were transferred on 26 June 2003 to the
relevant option holders. As a result of this transaction, the directors' share
interests in the Company remain unchanged.
