                         Directors' Interests in Shares


The Ogier Employee Benefit Trustee Limited, as trustee of The Paladin Resources
plc Employee Share Trust ("the Trust"), purchased 500,000 ordinary shares of 10
pence each at a price of 85 pence per share on 21 November 2003. The Trust now
holds a total of 1,851,923 shares, representing 0.58% of the issued share
capital of the Company. The shares are being held in the Trust in connection
with conditional awards made to certain Directors of the Company and other
senior employees under the Company's Long Term Incentive Plan 2000. As a
potential beneficiary of the Trust, each Director is technically deemed to be
interested in the ordinary shares held in the Trust.
