                      Mezzanine Group PLC ("the Company")
                            Result of AGM Statement


The Company announces that at its Annual General Meeting held earlier today, all
resolutions put before the Company's shareholders were voted on and duly passed.


As a consequence of the resolutions being passed by shareholders, today is the
last day of trading on AIM of the Company's Ordinary Shares, with cancellation
becoming effective at 8 a.m. on Friday 9 January 2004.


Following the Company's shares being de-listed from AIM, the directors have made
arrangements for the Company's ordinary shares to be traded through the JPJL
trading facility operated by JP Jenkins Limited, details of which can be found
at www.jpjl.co.uk.
