PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

This is the first year the Company will be reporting its financial statements contained in the Form 20-F in accordance with International Financial Reporting Standards as issued by the International Accounting Standards Board. During the preparation of the Form 20-F and the Company’s annual audited financial statements, the Company has experienced some unexpected delays and difficulties in relation to the interplay of IFRS, the requirements of the SEC to provide Supplemental Oil and Gas Financial Information under FASB ASC Topic 932 regardless of the basis of accounting on which financial statements are prepared and other requirements for first time adopters of IFRS under SEC rules. These delays could not be eliminated without unreasonable effort and expense.
