KINETIC Group (OTC:KNIT) ("KNIT") Acquires GSS Infrastructure LLC in an All Stock Transaction

Orlando, Fla., May 27, 2022 /PRNewswire/ -- KINETIC GROUP (USOTC: KNIT) ("KNIT") today announced that it has signed a binding Letter of Intent ("LOI") with GSS INFRASTRUCTURE ("GSSI") www.gssinfrastructure.com to acquire a 100% interest in GSSI. The Transaction remains subject to certain conditions being met and completion of definitive documentation.

Under the terms of the LOI signed on May 18, 2022 KNIT will acquire GSSI in an all stock purchase. As a result of the acquisition, KNIT will acquire all of GSSI's assets, including the binding LOI signed between GSSI and NTEC on March 31, 2022. At the closing of the GSSI-NTEC transaction KNIT will effectively own and operate 50 telecom tower sites, 187 equipment overlays and 267km of fiber. KNIT would also acquire three separate long term contracts with Telefonica Ecuador (OTECEL) to operate active and passive telecom infrastructure in Ecuador.

Ana María Méndez, KNIT's CEO stated, "The acquisition of GSSi provides KNIT with an important foothold in Latin America to expand our presence in the wireless infrastructure space. So far the 8K seems to be announcing the hire of a CEO with significant Pharma background running a internet-web services marketing & promotions co.? Do I have that right at least? The 10K shows no cash/revenues & the SS appears to be growing past ~75mm. NOT that that's a huge number but... It's the dilution I'm a bit concerned about. Where's this business going? BESIDES the Solstice sunglasses acquisition?

Thanks, I have no knowledge of this Kinetic Group but have been involved in another company for which Aitan Zacharin is CEO but seems to have disappeared and I think we can assume now we know where he has been.

Yeah still hanging with some as well. Not sure what the potential is...but I believe it can certainly get crazy if some people pick up on it or the co provides updates. Knee jerks could be wild with this float...What do you make of the volume today with it trading down the next decimal?

YES, LOVIN THE FLOAT WITH THE COMPANY HERE

Yea I figured would just take time as most like to get a good position built pre initial move whether they are legit or not and then fire up the machine. However most of the real ones just seem to come out of nowhere and to this point its seems to be the case here...the 8k was filed during the holiday period without really any fanfare. Rosenberg appears to be the real deal. I don't know how it will all play out but its def pretty interesting. The 8k says 70 calendar days for audited fins. However may not take that long and I would have to assume potential is there for quick uplist? The float presents all sorts of possibilities.

Yeah maybe this will pop up on radars eventually. Nathan Rosenberg def has been around this stuff a long time. Will be interesting to see exactly what becomes of it all. Possibly combining all these Co's could benefit the retail side lowering some costs or something..I don't know. But there is definitely a lot of revenue flowing around these entities. I would just find it odd if Nathan is CEO here and his other Co's aren't tied in somehow. Distribution-Retail-Online. Obviously won't take much to move it. If all these Co's come together with 50 or 60 Mill in revs the market cap is still pretty low where it stands now. Some kind of PR gets put out this could make a SECI type jump in a blink..I remember trying to get in there around 1$..was tough..I ended up buying there at 2$ when ask was 1$..

People think $3.00 is expensive, but this is a different kind of stock. 117k float with a big board company coming in. 100 shares will be worth quite a lot in the coming days.

Im not sure TBH, a little confused who got what lol.

I think Corette LLC received about 2.4 mil shares (already in the OS) in exchange for Fairway aka Solstice Sunglasses.

I think Elisha Kalfa and his canadian organization owns 33% of the company in warrants.

Im not sure yet who owns the remainder of the stock.

Float is only 106k, so I have about 2.6 million left to account for. Either its with Elisha Kalfa, Nathan Rosenberg, Corette LLC, Fairway LLC, Rena Kantor... not sure yet

Feels like things will move quickly here...There are obviously no rookies involved. They slipped this first filing in quietly over a holiday period when most traders etc are out to lunch we'll say. Hopefully they plan on putting it all together before year end so they can charge into 2020. It's all pretty interesting...that is for sure.

Fairway/Solstice/Corette only makes up 33% of the outstanding shares as well.

I believe the other 67% is owned by Nathan Rosenberg. He has been an eyewear executive for 30+ years. He owns GSI Corp and Gaffos.

Solstice Sunglasses has 70+ stores and did over $50 mil revs in 2018 and are on a similar pace in 2019.

Might be tough to get size under 15$ ... 1500 shares moved it 150% lol Feels like I'm dealing with another SECI type play...that is how that one moved.

Another thing we don't know is what does Fairway LLC already have going on?...

They purchased the 70-80 US retail locations. KNIT is now the 2nd largest sunglass retailer in the United States.

The former parent company of Solstice (Safilo) has over a billion revs a year internationally manufacturing and selling sunglasses.

The new officers have a lot of connections as well. Tons of DD to unravel here. Corette LLC, Fairway LLC, Rena Kantor, gaffos.com, connections to GCAN, Mark Radon, Nathan Rosenberg (big sunglass exec and experience).

There could be a lot packaged in here. Corette LLC and Fairway LLC have many other companies invested in them as well. Wait till the names start popping up.
