EXPLANATORY NOTE
On August 9, 2018, School Specialty, Inc. (the Company) filed the Registration Statement on Form S-8 (Registration Statement No. 333-226744) (the Form S-8) registering 700,000 shares of the Companys common stock, par value $0.001 per share (the Shares) in connection with the 2014 Incentive Plan of School Specialty, Inc. (the Plan). The Company does not intend to make further issuances pursuant to the Plan. This Post-Effective Amendment No. 1 to the Form S-8 is being filed to deregister all Shares that were registered under the Form S-8 and which remain unissued, which as of April 3, 2020, total 700,000 shares.
