Issue of Equity



In connection with the proposals made to holders of options over the shares of
Compass Software Group Plc ("Compass" or "the Company") following the
announcement on 18 August 2003 that the offer by Alphameric PLC for the whole of
the issued and to be issued share capital of the Company ("the Offer") had been
declared wholly unconditional, the holders of options over 7,500 ordinary shares
of 10 pence elected to exercise their options.  Accordingly, the Company
announces that it has today issued 7,500 ordinary shares of 10 pence each to the
holders of these options.  Under the proposals made to them, the option holders
have accepted the terms of the Offer in respect of the shares allotted to them.



Alphameric PLC have announced that, in due course, it is their intention to
procure that Compass applies to the London Stock Exchange for the cancellation
of admission to trading on AIM of the Company's shares.  Accordingly, no
application will be made for the admission to trading of the 7,500 shares issued
to the optionholders.
