Co-founders to step
down from Board
Chill Brands Group Plc (AIM:CHLL)
announces its co-founders Trevor Taylor and Antonio Russo will be
resigning from the Board by the end of Q3, 2024.
The decision was communicated in a
letter to shareholders sent this morning.
The resignations of Taylor and
Russo, who have served on the Company's Board since 2020, will take
effect on or before 30 September 2024. Chill Brands will announce
their replacements in due course.
Further to the announcement made by
the Company on 17 April 2024, the Company received a letter seeking
to requisition a general meeting (the
"GM") of the Company's
shareholders under section 303 of the Companies Act 2006, as
amended.
The GM will be held at 10 a.m. on
Tuesday 4 June 2024 at Riverbank House, 2 Swan Lane, London EC4R
3TT. The notice of the GM will be published today and made
available on the Company's website in accordance with the
electronic communications provision of the Company's Articles of
Association.
In line with the suspension of the
Company's CEO, Callum Sommerton, announced on 22 April 2024, he has
not participated in the preparation of this notice or the
accompanying letter to shareholders and the rest of the Board is
not aware of Mr Sommerton's voting intentions at the forthcoming
GM.
