DIRECTORS' SHAREHOLDINGS

Pennon Group Plc announces that it has today received notification that its
three Executive Directors have obtained a conditional interest in Ordinary
shares of the Company as follows:

Mr R J Baty                         -     6,435
Mr C I J H Drummond                 -     7,990
Mr D J Dupont                       -     6,146



The shares were awarded on 25 July 2003 at a price of 652p per share under the
Company's performance related bonus arrangements whereby the cash bonus payable
in respect of the Executive's performance during the Company's financial year
2002/03 is matched by an award of shares of an equivalent amount.  It is a
condition of the performance related bonus scheme that the shares so awarded
should normally be held for a period of three years, conditional upon continuous
service with the Company.  The shares are held by Pennon Share Plans (Guernsey)
Limited.
