                          Conditional Grant of Shares 
 
The Directors of Syndicate Asset Management Plc (the "Company") (AIM: SAM), the 
fund management group, announce the conditional award of ordinary shares of 0.2 
pence each in the Group ("Ordinary Shares") to its Group Chief Executive 
Officer, Jonathan Freeman and its Group Chief Financial Officer Neil Hale, as 
part of the Company's Long Term Investment Plan ("LTIP"), as was set out in the 
Company's Prospectus of 12 October 2009 and adopted by the Board of Directors 
on 1 December 2009. 101 staff and senior managers now participate in the 
Syndicate LTIP. 
 
Details of the award are set out below and are subject to certain individual 
performance conditions, and Jonathan Freeman and Neil Hale being employees of 
the Group at the vesting date and, if the award does vest, being employees of 
the Group on the date the award is exercised.
