    Conversion of Loan Note


    Tadpole Technology Plc ("Company") announces that it has, conditional upon admission to the Official List, issued 15,000,000 new
ordinary shares of 1 penny each in the Company as a result of the exercise of the conversion rights held over �150,000 nominal value
convertible loan notes. It is expected that these shares will be admitted to the Official List and to trading on the London Stock Exchange
with effect from 18 June 2008.

    Following the conversion, the Company's issued share capital will consist of 441,284,844 ordinary shares of 1p with voting rights and
1,687,283,244 deferred shares of 1p to which no voting rights attach.
