Senior Note Participation Notes due 2026 (Rule 144A ISIN: US26824MAB63; Reg S ISIN: XS2297197266) (the "Notes") issued by, but with limited recourse to, the Issuer for the sole purpose of financing the purchase of the U.S.$300,000,000 7.125 per cent. Senior Note due 2026 (the "Senior Note") issued by the Bank

NOTICE IS HEREBY GIVEN to the holders of the Notes that the Extraordinary Resolution in relation to the Notes set out in the consent solicitation memorandum dated 23 August 2024 (the "Consent Solicitation Memorandum") was duly passed at a meeting of the Noteholders held on 16 September 2024.

The Amendment to the Senior Note and the Deed of Waiver (each as defined in the Consent Solicitation Memorandum) have been entered into and the Effective Date (as defined in the Consent Solicitation Memorandum) has occurred as of today and all Notes blocked as a result of the meeting will be unblocked as soon as practicable.

The relevant consent fees will be paid on or around 19 September 2024 to all Noteholders who voted in favour by the Early Consent Deadline of 5:00 p.m. (New York City time) on 6 September 2024 or by the Voting Deadline of 5:00 p.m. (New York City time) on 11 September 2024.
