                        SectorGuard Plc ('the Company')

                    Raises #940,000 through Private Placing


SectorGuard Plc, the AIM listed manned guarding provider has raised #940,000
through a private placing of 47,000,000 new ordinary shares with institutional
and other investors. The money raised will be used to pursue the Company's
existing strategy of developing the business both organically and through
acquisitions. Application has been made for the new shares to be admitted to
trading in AIM and dealings in the new shares are expected to commence on 20
February 2003.

SectorGuard CEO David Marks said: "We are delighted that the institutions taking
part in the placing see SectorGuard's potential. Healthy trading continues, so
together with our improved cash position we are able to maintain our aggressive
growth strategy, taking advantage of acquisition opportunities as they arise."
