Agency Corp. (Nasdaq: AGNC) ("AGNC" or the "Company") announced
today that it priced a public offering of 37,000,000 shares of
common stock for total estimated gross proceeds of approximately
$1.0 billion.
In connection with the offering, the Company has granted the
underwriters an option for 30 days to purchase up to an additional
5,550,000 shares of common stock to cover overallotments, if any.
The offering is subject to customary closing conditions and is
expected to close on November 1,
2011.
AGNC expects to use the net proceeds from this offering to
acquire additional agency securities as market conditions permit
and for general corporate purposes.

LLC are joint book-running managers for the offering. Barclays
