February 3, 2025, an Extraordinary General Meeting of Shareholders of Intercure Ltd. (the “Company” and the “Meeting,”
respectively) approved the proposal brought before the Company’s shareholders at the Meeting, in accordance with the majority required
for such proposal. This proposal was described in the Company’s Notice and Proxy Statement with respect to the Meeting dated December
20, 2024, attached as Exhibit 99.1 to the Company’s Form 6-K dated December 20, 2024, as subsequently amended as reflected in Exhibit
99.1 to the Company’s Form 6-K/A dated January 31, 2025.
