     Registrant could not file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2010 without unreasonable effort or expense by the due date of August 16, 2010 because the Company requires additional time to complete certain reviews and analyses of Registrant’s June 30, 2010 account balances due to Registrant’s July 1, 2010 acquisition by VCA Antech, Inc.

           The definitive acquisition agreement between Registrant and VCA Antech, Inc, dated June 2, 2010, triggered additional obligations in regard to Registrant’s long-term debt. As a result interest expense is expected to significantly increase in comparison to the prior year’s comparable period. Total incremental interest expense which is still being determined, will include approximately $7.8 million in incremental premium accretion related to Registrant’s 12% senior secured debt.
