Explanatory Note

This Current Report on Form 8-K/A (this “Report”) of Weis Markets, Inc. (the “Company”) is being filed to update the Company’s previous disclosure and provide information that was not determined or available at the time of the filing of Form 8-K filed on January 17, 2025, regarding the promotion of Robert G. Gleeson to Chief Operating Officer.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Promotion of Chief Operating Officer

On February 5, 2025, the Company finalized the compensation arrangement with Mr. Gleeson, for his promotion to the role of Chief Operating Officer. In connection with such promotion, Mr. Gleeson is entitled to the following:

●Annual base salary of $633,938
●Participation in the Company’s Non-Equity Incentive Plan with a 100% target annual incentive percentage.
●Participation in the Company’s Long-Term Incentive Plan with target percentage of 150%.

There are no additional plans, contracts, arrangements, grants, or awards entered into or amended in connection with Mr. Gleeson’s assumption of the position of Chief Operating Officer.

Other than the preceding disclosure, no other disclosure reported in the original filing is being modified pursuant to this amendment.
