Remark Holdings, Inc. (“we” or "our") is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2024 (the “Report”) without unreasonable effort or expense due to delays in obtaining and compiling information for inclusion in the Report. We expect to be able to file the Report on or before the fifth calendar day following its original prescribed due date.

If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.
In comparison to the three months ended June 30, 2023, we expect revenue during the three months ended June 30, 2024 to increase within a range of approximately $0.5 million to $0.6 million, primarily due to our completion of a large project in the U.S., the increased revenue from which was mostly offset by a decrease in revenue from China. Operating loss is also expected to improve by approximately $0.7 million to $0.8 million. Regarding other income and expense, we expect technology and development expense to decrease within a range of approximately $0.1 million to $0.3 million due to a decrease in payroll and related expense as a result of our reduction of staff in China, and we expect impairments to decrease within a range of approximately $0.3 million to $0.5 million primarily because the impairments we recognized during the three months ended June 30, 2023 did not repeat during the three months ended June 30, 2024.
