Everything else? I think it's just "everything". Although, I would be inclined to believe the recent PR from the new CEO which seems to knock Viper down to the bottom of the list of things they are wanting to do. I just don't see Viper's operations being a part of Ow ire for very long.
TROY, Mich., Jan. 20, 2025 (GLOBE NEWSWIRE) -- Viper Networks (OTCPK: VPER) announced the beginning of its strategic rebranding effort. Among other corporate actions, Viper and its subsidiaries will adopt the name 0Wire (pronounced βZero-Wireβ). The assets of 1stPoint Communications will be split into two strategic operating companies. The existing entity will be renamed 0Wire Communications and operate the companyβs key telecommunications assets in both the United States and the Eastern Caribbean. A new entity, 0Wire Hosting, will operate the companyβs technology hosting portfolio. 0Wire Wholesale, a new subsidiary, will refocus the companyβs wholesale services on newer and higher growth opportunities such as 5G roaming and messaging, while continuing to develop the wholesale voice market. Additional subsidiaries, operated as 0Wire Energy, will address smart city and renewable energy projects in the United States and Sri Lanka.
βWe have undertaken this rebranding effort in order to better align with the companyβs Everything Wireless Telecom+Energy strategy,β said Erik Levitt, the companyβs CEO. The Everything Wireless strategy consists of five key pillars: Over-the-Top Technologies (βOTTβ), Mobility, Fixed Wireless, Smart City and Renewable Energy Generation. βWe continue to see very strong growth in our OTT business and there is industry-wide recognition that we are a leader in the messaging market. We will continue to develop these technologies while we shift longer-term investment toward mobility and fixed wireless,β said Levitt.
During the last fiscal year the company completed the deployment of 108 smart poles and Apollo smart lights in the capital city of Sri Lanka, Colombo. The initial deployment was a pilot project for future, larger, and more complex installations. βManagement is now evaluating follow-on projects with key constituents in the market,β said Farid Shouekani, the companyβs Chairman. βWe look forward to growing the recognition of the 0Wire brand as a market leader in smart city deployment,β added Shouekani.
Management elected to begin the rebranding effort with the telecommunications division because of its strategic importance as well as the lack of a need for regulatory approvals. βDue to regulatory requirements, certain corporate actions, such as name changes, can take several months to complete. We hope to complete the process at the corporate level during the next three quarters,β added Levitt. Management anticipates that this process will proceed alongside the companyβs audit of its financial statements.
Further information on the rebranding effort will be forthcoming in the companyβs annual filings as well as future press releases.

PR on a market holiday. Normally that would be done so nobody sees the PR. Maybe that was the intent, but there isn't a ton of negative information in it.
Ow ire. Good name for a company.
Based on the content, my assumption of a reverse merger still seems to be a possibility. All of VPER's operations are "Additional subsidiaries, operated as 0Wire Energy, will address smart city and renewable energy projects in the United States and Sri Lanka." Sounds like Cybergrab is just going to disappear.
Will Viper Networks now be spun off after a reverse split or will it become part of Veritas? Sure doesn't seem like Ow ire is interested in anything they do. If VPER gets spun off, they'll probably keep talking about Cybergrab. I just don't see VPER functioning as they have been for the past 5-10 years without being public. Do they have access to a shell or will they come up with something else?
What an amazing company.

I realized when I got home that night that I had stated (180) by mistake, when it was actually (108) stated.
I also went back and re- read the info on the website: "Viper offers multiple pole designs, including the slim line, high strength, elegant poles depicted above. The strongest structures can exceed 30 meters in height and accommodate up to three tenant mobile network operators on a single pole and include a large base capable of housing carrier edge equipment."
I originally had in my head that the Sri Lanka poles were 30m, they look more like 10m in the photos.
The estimates of 35-45k were, guestimates on my end from what I was looking at. I still believe they're in excess of $6k a piece even @ 10m tall (if Viper even supplies them).
Regardless; we're finally seeing some activities, and news releases, updates to websites and info regarding the management who are now in control. this is much more than we had for the past (3) years.
Hopefully, this gets some attention and we can get back to trading.

I did not look up a reference for any of this, but I believe AT&T is handling smart poles in LA. Also, I thought I heard these smart poles are about $500 each. I know that sounds ridiculously low, but it is what I remember seeing somewhere. Of course, there are add-ons to the poles: cameras, Wi-fi, charging station et all. As chain said the 108 smart pole order should have been reported in VPER's last financials, and you can see there wasn't any breathtaking revenue reported.

The website is showing Light Poles in Sri Lanka (as some of you know). They look good, actually really good. Not sure what to put on them for a price tag, but they don't look "cheap" or cheap - aesthetically pleasing. I'm stuck between $35,000 - $45,000 each - plus freight, installation and set-up (any other opinions on price)? Multiply that by (180) of them.
I also read an article that L.A. plans on having s "Smart City" set-up for the 2028 games. Curious if Viper is involved.
The website is starting to come alive, now some pertinent news, and financials - too much to ask for...?

"The big issue is if, or how, the share structure will be re-arranged (if at all) for the current shareholders."
THAT is the big issue?
No revenue, steady stream of BS, constant discrepancies on their financials, and 72 million in debt, and the share structure is "the big issue"? That's the way VPER has been able to operate the way it has for so long. Need something? Just issue some shares. If the creditor won't take common, then A or B will work.
I think you'll at least get your wish when the reverse split happens. 1000:1 seems a little aggressive, but if the preferreds are going to be immune, then that gives them a lot of room to work. It's a good possibility that the preferreds get split, then VPER immediately issues shares for at least a chunk of that debt. May be common, may be preferred. 100:1 isn't enough. 500:1 is possible, but they might as well rip the bandaid off.
I think the "immediate project" in Saudi Arabia was maybe to put up a pole or get some sort of demo in place for whoever the partner was over there. And that is being generous. There is the possibility that nothing happened at all. Financials more or less support that. History of PRs that are never mentioned again supports that as well.
What an amazing company.

There is a lot of strange trades today for 10, 20 shares.
Personally, I think once the political scene dies down a bit and people get into there groove, this will take off.
I don't believe Shakir al Khafaji got involved on a whim. It appears he makes things happen in his world. It is odd that there has been no pertinent news surrounding there investment/take over of Viper Networks - Call it what you will, but Farid wasn't put in the backseat and Eric Levitt isn't running things by mistake. I'm sure there is a plan in place. The connection with Mike Johnson and Tiffany Trumps Father in Law around the same time Alkhafaji was stepping in I don't believe was by chance either. I have done some research and he's a very successful person (in many facets).
The big issue is if, or how, the share structure will be re-arranged (if at all) for the current shareholders. I originally jumped on this for a quick hit, and got caught holding the bag, kept averaging in as it went down on Farid's "no factual news" policy for the 2-3 year period; but now hoping to hang in for what may be quite a ride. Too many things are lining up...
One or two good news announcements will help immensely.

Full Steam Ahead... the fact that Mike Johnson was retained as the Speaker of the House is a Very big deal for the Viper Networks/Hammer/1st Communications/Veritas Limited arrangement (whatever it actually is). Shakir W. Alkhafaji the President & CEO Veritas Limited,LLC didn't get involved in this for the fun of it, I can assure you that.
Farid must have had some legitimate business happening that needed serious funding, and he plans on ringing the bell.

Speaks Volumes to me... along with the fact the Tiffany Trump's Father-in-Law is involved also.
There may be some real hope here now, once things get put into place.
Probably see Chicago get a cleaning up also, as part of it all.

The company is 70+ million in debt and has a history of PRing things and then never mentioning them again. More importantly, the history of almost no revenue and even less profit is the main red flag. Your nieces and nephews are smart. 90+% of pennies and subpennies are straight up gambling and should never be "investments".
In my opinion, Farid has done with VPER exactly what he set out to do. I don't consider that "poor management" since in my view, there was no intent to grow a real company, yet somehow the company has stayed in business for years.
If the "acquisition" doesn't turn out like EcoTech, SOMETHING is going to happen. What, specifically, I have no idea. My money is on a reverse split and it will be interesting to see how that plays out since supposedly, all of the class A preferreds are gone, and some portion of class B shares have been converted to common.
How do you see that $70+ million getting repaid? I think if the class B shares are immune to a reverse split, stock may come into play, but if the creditors are expecting cash payments at some point, I don't see that happening to a significant degree. The companies involved in the "acquisition" don't bring in much in the way of revenue.
What an amazing company.

My biggest fear was this stock going up in the last few days of the year and causing a huge income tax event in my world.
Feeling very fortunate things didn't go up before the New Year.
Now, let's see what Mr. Levitt and the Vertis Limited people are all about.
Too bad they couldn't let us know something before the Holidays though, I was trying to convey to our (17) nieces and nephews (who want to invest and make some money) all in their 30's what the company was about, and hopefully up to, but they were not buying into it. Actually thought it was funny that I was still going on about this for the 3rd year and the fact that it was now at .0002 didn't help.
From the past (3) years history, lack of revenue (and profit(s)) from any of the supposed sources, and the poor management (thanks to Farid).
Don't really blame them.

Anyone still hoping that VPER is a real company will get SOMETHING at the end of March. I believe all Sri Lanka revenue was shown on the Q3 filing, so somewhere in the neighborhood of $50,000. That isn't much. But according to the update (on the template website they pay some guy in India to do,) this Sri Lanka project they were crowing about for so long is only a "pilot project". I'm sure there are multiple definitions of "pilot project", but VPER didn't use that term until weeks after the project was completed. Why?
Q4 financials could have some revenue from Sri Lanka, but they also are supposed to show two months' worth of revenue from the weird "acquisition" they did. They pay for stock with stock, then give back the stock and replace the CEO. Doesn't really seem like an acquisition, but as previously postulated, it may be a reverse merger. I think we see a name change, ticker change, and reverse split in 2025.
What an amazing company.

Has anyone checked out the new Viper website? It is an improvement over the old one, but not by much. However, I did find this fascinating tidbit of information under the Updates section. As follows: "The company implemented 108 slim line poles equipped with state of the art LED lighting" in Columbo, Sri Lanka. Supposedly that was what was in the boxes pictured at the warehouse. Well, if nothing else it gives us all something to think about. After all, is this installation showing up on the financial report? Just how much do 108 slim line poles with LED lighting cost? What about follow-up orders? If this is a successful implementation, then do we have something to show prospective clients what we can do?

My sincerest apologies, I just don't know why anyone would think this was or ever will be a real company.
The company is supposedly having its financials audited, but even that happens, it may be meaningless. There is a long wait until Q4 is filed, so there probably won't be any PRs until around then, so they can distract from the financials.
I learned years ago that doubling down on subpennies is a bad idea. There are some real subpenny companies out there, but even after this long, a lot are just pump and dumps.
It's possible VPER gets bumped and you get even or make money, but "real company" isn't something I would count on.
It'll be interesting to hear what the new name will be. They will probably change the ticker, too to get some of the stink off. That's if this merger even lasts.
Again, my apologies. Have a good holiday season and happy new year!
What an amazing company.

Chain; Why would you even insult me like that... WTF?
Just a Pi$$ed off shareholder that got stuck in this debacle during the OTC rules changing, the Farid silencing era, & Covid.
The plan was to flip this thing and move on. I made, and pocketed 100k on the run up (was valued at 640k briefly @ 9mil shares), but then believed the B.S. they were spewing at the time, so I jumped back in. As it fell I kept doubling down (to the tune of over 26 mil currently). Here we are (3) years later and nothing ever came to fruition, until this Veritas deal, whatever it is? Happy Farid is out of the Captain's Chair, but unfortunately not sure where this is going.
Here in Syracuse, there is a ton of Fiber Optic cabling being put in by a company E-J Electric, which is to run our street lights etc..
I'm hoping this is what these guys are supposedly up to and more. I had an electronic issue a few year s back and went to a local repair shop. He stated no problem, all of this electronic stuff originated here in Syracuse through GE. My point is - we have many light poles w/ sensors in and around the area, and it seems we are the predecessors to many of these concepts that Viper is supposed to be about.
But NO, I am not Greenshark!
Hope you enjoy your Holiday - All the Best...!

No way this gets the Eco treatment. This is now owned by the Veritas Limited/Hammer/1st Comms people; I don't care how they present it to us.
My assumption is that Farid is or at least was a bright guy, but didn't have a clue how to get this off the ground. He probably laid a lot of ground work for his "pipe dream", and now they are going to capitalize on it - "The American Dream" - stories been done and told for thousands of years. Once they pick his brain and get this up and running with revenue streams and PROFITS, he will be out out to pasture, only to see his wildest dream come true, while they rake in the cash.
Very surprised they haven't doled out any info by now though. It's so close to Holidays and Year's end, would have been nice to think and possibly know we had something "real" and good going on.
That being said, BUCKLE UP - they will have to eventually start announcing things in order to move the needle.

This is going TO DA MOOON!
Based on what I've read, this is a no-cost merger for VPER and several other entities that HMMR is spinning off. I don't know HMMR's motivation to spin them off and I don't know why they would choose VPER for what MAY amount to a reverse merger. VPER lists all of that accumulated deficit on their financials which seems bad, but could all go away in any number of ways. My guess is they would grant shares to those individuals if they wanted to remove that debt. Maybe they just continue to carry it on the books.
Provided this doesn't go the same way as EcoTech, and VPER unacquires 1st Point, Endstream, and all of 1st Point's subsidiaries, I think a reverse split is coming.
βStrong growth will continue to come from the messaging business due to our inherent competitive advantage in the marketplace, but we anticipate expanding our fixed wireless business as we continue to make investments in key markets such as Alabama and the Eastern Caribbean,β added Levitt.
Inherent competitive advantage being they are a CLEC in a few markets? Alabama and the Eastern Caribbean are key markets for fixed wireless? I'm guessing there must be some hurricane proof antennas they use in those key markets.
What an amazing company.

(4) months now, and still no word on what, or where this is going...?
How can nothing be told about the new arrangement(s) of Veritas Limited, Hammer/1st communications taking over Viper Networks?
It's obvious that Farid was broke and needed money. He must have had some good stuff in the works for them to ante' up. They were smart to take the reins from him and not "cash" him up so this would continue to bleed out.
I realize that it takes a bit to get the structure set-up, but nothing at all in (4) months? Holidays are time for people to converse, and there is nothing to talk about?
No way this gets a good look from others, until there is substantial information and direction outlaid.
